1. Introduction

Welcome to Dwell Mart FZE (“Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, mobile applications, and all related services (collectively, the “Platform”).

By accessing, registering, or placing an order on the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of a business or legal entity, you represent and warrant that you are authorized to bind such entity to these Terms.

2. Eligibility

B2C Transactions

You must be at least 18 years of age to purchase products for personal use.

B2B Transactions

You must provide valid and accurate business information, including but not limited to:

• Business registration documents

• Tax identification numbers (TRN/GST/VAT)

• Any additional credentials requested by the Company

We reserve the right to verify and approve B2B accounts.

3. Products & Services

We make reasonable efforts to ensure that all product descriptions, images, specifications, and pricing displayed on the Platform are accurate. However, errors may occur.

In the event of any discrepancy, the Company reserves the right to:

• Correct the error

• Modify the order

• Cancel the order with prior notification to the customer

4. Pricing & Payment

Pricing

All prices are listed in AED or USD and are subject to change without prior notice.

Taxes

Applicable VAT, GST, customs duties, or other taxes will be charged in accordance with the laws of the relevant jurisdiction.

Payment Terms

• B2C: Full payment is required at the time of checkout.

• B2B: Payment terms are subject to credit approval and may include advance payment, partial payment upon dispatch, and balance payment after delivery, as agreed in the purchase order or contract.

Accepted Payment Methods

• Bank transfer

• Credit/Debit card

• Cash on delivery (where available)

• Any other payment method approved by the Company

5. Orders & Acceptance

Placing an order constitutes an offer to purchase. The Company reserves the right to accept, reject, or modify any order prior to shipment.

A binding sales contract is formed only when:

• The order is formally confirmed by the Company, and

• Payment is received (or purchase order is approved in B2B transactions)

6. Shipping & Delivery

Delivery Timelines

Delivery timelines are estimates only and are not guaranteed unless expressly stated in a written agreement.

Risk of Loss

• B2C: Risk transfers upon delivery to the customer.

• B2B: Risk transfers upon handover of goods to the carrier or logistics provider.

International Shipments

Buyers are solely responsible for:

• Customs clearance

• Import/export duties and taxes

• Compliance with local laws and regulations

7. Returns & Refunds

B2C Transactions

Returns are accepted within 7 days of delivery, provided:

• Products are unused

• Original packaging is intact

• Proof of purchase is provided

B2B Transactions

Returns are accepted only for defective or non-conforming goods and must be reported within 7 days of receipt.
Bulk or custom orders may be subject to restocking or cancellation fees.

8. Warranties & Limitation of Liability

Product Warranty

Unless explicitly stated otherwise, all goods are sold “as-is” without warranties of any kind.

Limitation of Liability

To the maximum extent permitted by law:

• The Company shall not be liable for indirect, incidental, or consequential damages.

• The Company’s total liability shall not exceed the purchase price of the goods.

9. Intellectual Property

All content on the Platform, including but not limited to logos, trademarks, text, images, product designs, and software, is the intellectual property of Dwell Mart FZE or its licensors.

Unauthorized copying, reproduction, distribution, or commercial use is strictly prohibited.

10. Confidentiality (B2B Only)

Both parties agree to maintain the confidentiality of:

• Business information

• Pricing structures

• Trade secrets and proprietary data

Such information shall not be disclosed to third parties without prior written consent, except as required by law.

11. Compliance & Legal Obligations

You agree to comply with all applicable local, national, and international laws, including:

• Tax regulations

• Import/export laws

• Consumer protection laws

12. Force Majeure

The Company shall not be held liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, strikes, logistics disruptions, pandemics, or government actions.

13. Termination

The Company reserves the right to suspend or terminate accounts or cancel orders without notice in cases of:

• Breach of these Terms

• Fraudulent or unlawful activity

• Misuse of the Platform

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any disputes shall be subject to arbitration or the exclusive jurisdiction of the competent courts in Sharjah, UAE.

15. Changes to Terms

The Company may update these Terms at any time. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
